1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ipita LLC ("Company," "we," "us," or "our") concerning your access to and use of the Omnicost website and platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

The terms last updated on 2026-01-15 are void and are replaced by these terms as of 2026-10-14.

2. Description of Service

Omnicost is a construction cost management platform that provides tools for project management, budget tracking, material pricing, document management, and team collaboration. The Service is designed for construction professionals, contractors, architects, and related industry professionals.

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

Omnicost offers a free plan and one paid plan, Pro, which includes the application, the API and the MCP server. Pro is billed in advance on a weekly, monthly, or annual basis, as you choose. Prices are shown in USD on the pricing page. By subscribing, you authorize us to charge your payment method for the applicable fees.

We may change our prices. Changes do not affect a period you have already paid for and apply from the next renewal.

5. Refunds

Refunds. Weekly and monthly plans are non-refundable; when you cancel, you keep access until the end of the paid period. If you cancel an annual plan, we refund the amount paid minus each month started, each charged at the current Pro monthly rate (USD 29). Refunds go to the original payment method.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

• If you cancel an annual plan, the subscription ends immediately. We refund the amount paid minus each month started, each charged at the current Pro monthly rate (USD 29). Refunds go to the original payment method
• A weekly or monthly subscription remains active until the end of the current billing period and is not refunded
• You will not be charged for subsequent billing periods
• After the subscription ends, your account is downgraded to the free plan

7. API and MCP Use

Omnicost Pro gives you access to the Omnicost REST API and MCP server through organization keys. Commercial use is permitted, including integrating Omnicost data into your own products and workflows, subject to these Terms.

• API keys are confidential and must not be shared with third parties or exposed publicly
• You are responsible for all usage made with your keys
• Omnicost Pro allows 1,000 requests per minute. Search is limited to 60 requests per minute. Public catalog reads without a key stay at 60 requests per minute per IP
• Data coverage (countries, trades, and categories) and update frequency are described in the documentation and may change

8. Rate Limits

Omnicost Pro includes 100,000 requests per month and 1,000 requests per minute. There is no overage billing. When that cap is reached, the API returns HTTP 429. Upgrade to Enterprise or contact us. Unused quota does not roll over. You can see your usage in the MCP dashboard.

We may throttle or temporarily suspend a key whose usage threatens the stability of the Service. For high-volume needs, contact us about an Enterprise plan.

9. Caching and Attribution

You may temporarily store (cache) data obtained through the API or MCP for up to 72 hours (between 24 and 72) from retrieval. After that period you must re-fetch or delete it.

When you display Omnicost pricing or other data to your users, you must visibly attribute it to Omnicost (for example, "Pricing data: Omnicost") with a link to omnicost.com.

10. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use the Service for any fraudulent or deceptive purposes
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission, except through the API and MCP under these Terms

Unless agreed in writing with us (for example, under an Enterprise or white-label plan), you may not:

• Resell, sublicense, or redistribute Omnicost data as a dataset, raw or derived
• Use the data to build or feed a pricing database that competes with Omnicost
• Store data beyond the permitted caching period
• Circumvent quotas or limits, including by using multiple keys or accounts
• Present the data under your own brand without the required attribution

11. Intellectual Property

The Service and its original content, features, and functionality are owned by Ipita LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you upload or create using the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing the Service to you.

12. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. Pricing data and estimates provided through the Service are for informational purposes only and should be verified independently.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPITA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Ipita LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
