1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ipita LLC ("Company," "we," "us," or "our") concerning your access to and use of the Omnicost website and platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Omnicost is a construction cost management platform that provides tools for project management, budget tracking, material pricing, document management, and team collaboration. The Service is designed for construction professionals, contractors, architects, and related industry professionals.

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

Omnicost offers various subscription plans, including free and paid tiers. Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.

Subscription fees are non-refundable. We reserve the right to modify our pricing at any time, with notice to existing subscribers before any price changes take effect.

5. No Refund Policy

All subscription fees and paid platform charges are final and non-refundable.

• No Platform Refunds: Omnicost does not issue prorated, partial, full, manual, or automatic refunds from the platform.
• Cancellations: Canceling a subscription stops future renewal but does not create a refund, credit, or reimbursement for the current billing period.
• Plan Downgrades: Downgrades do not create prorated refunds or refund-like balances. The lower plan applies without reimbursement.
• External Refunds: If a refund is issued outside the platform, paid entitlements may be removed immediately.
• Free Plan: The free plan does not require payment and therefore is not subject to refunds.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• You may continue to access paid features until your subscription expires
• After expiration, your account will be downgraded to the free plan

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use the Service for any fraudulent or deceptive purposes
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Ipita LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you upload or create using the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing the Service to you.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. Pricing data and estimates provided through the Service are for informational purposes only and should be verified independently.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPITA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ipita LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
